Terms of Service

These Terms of Service (the "Terms") govern your access to and use of KemaFox (the "Service"), a language-learning product operated by KemaKema ("we", "us", "our"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. The service

KemaFox is an AI-powered language-learning platform built on the comprehensible-input approach. The Service uses AI to process learning content into word-aligned, listenable study material, and presents it with a delayed subtitle so you train your ear before you read. The Service is provided for personal, non-commercial language learning.

2. Eligibility and accounts

You must be at least 16 years old, or the age of digital consent in your jurisdiction, to use the Service. You are responsible for the activity under your account and for keeping your login credentials secure. Accounts are personal and may not be shared or resold.

3. Subscriptions, credits and billing

Access is sold as recurring membership subscriptions. Subscriptions renew automatically at the end of each billing period until cancelled, and you authorize us and our payment processor to charge your payment method for each renewal.

Credits are the internal unit the Service uses to generate lessons (one credit corresponds to one minute of processed lesson content). A subscription includes a periodic allotment of credits; you may also buy additional credits as one-time top-up packs. Credits are a prepaid right to use the Service, not money, not a stored-value instrument, and not redeemable for cash. Current prices, credit amounts, and any free-trial credits are shown at checkout before you pay.

4. Refunds and cancellation

You can cancel a subscription at any time; cancellation stops future renewals and takes effect at the end of the current billing period. Refund eligibility and the treatment of unused credits are described in our Refund and Cancellation Policy, which forms part of these Terms.

5. Acceptable use

You agree not to:

(1) use the Service for any unlawful purpose or in violation of any third party's rights; (2) submit content you do not have the right to use, or use the Service to infringe copyright; (3) resell, redistribute, or make the processed output publicly available as a substitute for the source material; (4) attempt to reverse-engineer, scrape, overload, or circumvent the Service's technical limits or security; or (5) share, transfer, or resell your account or credits.

6. Content and third-party media

You are responsible for the material you bring to the Service. The Service uses AI to process user-provided content into study aids for your own personal learning. We claim no ownership of the source material you provide, and we charge only for our software and AI processing -- not for any third-party media. You represent that you have the necessary rights to use any content you submit, and you agree to use the processed output solely for personal study. We may remove content or suspend accounts that we believe infringe third-party rights or breach these Terms.

7. Intellectual property

The Service, including its software, design, brand, and original content, is owned by KemaKema and protected by law. We grant you a limited, non-exclusive, non-transferable licence to use the Service for personal learning while your account is in good standing. Study material generated for you from your own source content is for your personal use.

8. Disclaimers and limitation of liability

The Service is provided "as is" without warranties of any kind. AI-generated transcripts and translations may contain errors and should not be relied on for any critical purpose. To the maximum extent permitted by law, our aggregate liability arising from the Service is limited to the amount you paid us in the twelve months before the event giving rise to the claim.

9. Changes to the service and these terms

We may modify the Service or these Terms. If we make material changes, we will update the date above and, where appropriate, notify you. Continued use after changes take effect means you accept the revised Terms.

10. Governing law

These Terms are governed by the laws of the Hong Kong Special Administrative Region, and any dispute is subject to the exclusive jurisdiction of the Hong Kong courts.
